MLJAR STUDIO - END USER LICENSE AGREEMENT (EULA)

This End User License Agreement ("EULA") is a legal agreement between MLJAR sp. z o.o. ("MLJAR", "Licensor") and the individual or legal entity ("Licensee", "User") using MLJAR Studio ("Software").
- LICENSE GRANT
1.1 Perpetual License: The Software is licensed, not sold. MLJAR grants a non-exclusive, non-transferable, non-sublicensable, perpetual license to use the version of the Software available at the time of purchase. The license is limited to the number of users (1) and devices (3) purchased.
1.2 Scope of Use You may use the Software for internal business or personal purposes, including: • data analysis, • machine learning model development, • generating outputs for internal use.
1.3 Restrictions: Licensee shall not: Modify, adapt, translate, reverse-engineer, decompile, or disassemble the Software, except where permitted by applicable law. Sell, rent, lease, distribute, sublicense, or commercially exploit the Software. Remove or alter any proprietary notices, branding, or legal disclaimers from the Software. Use the Software for illegal activities or in violation of applicable laws. Circumvent or attempt to bypass license restrictions, subscription verification mechanisms, or any other security or usage control features implemented in the Software. Use the Software on more devices or users than specified in the purchased license. Share, transfer, or distribute license keys to third parties. Provide paid services or build a SaaS offering based on MLJAR Studio without an explicit written agreement from MLJAR.
1.4 Permitted Use: Licensee is allowed to: Install and use the Software on the specified number of devices. Use the Software for internal business, research, or educational purposes. Use the Software to analyze data and build models for personal or company use but not as a service for third parties.
1.5 No Ownership Transfer: This EULA does not transfer ownership of the Software. MLJAR retains all intellectual property rights.
- TRIAL
MLJAR may offer a free trial (e.g., 7 days). During the trial: • access to Software and AI Services may be limited or full, • no payment is required unless explicitly stated. If the trial leads to a paid purchase, this will be clearly communicated before any charge. MLJAR may modify or terminate the trial at any time.
- AI SERVICES (CLOUD FEATURES)
3.1 Scope: The Software may include optional cloud-based features ("AI Services"), such as: • access to hosted models, • inference and training, • integrations with third-party AI providers. AI Services may be available during trial and/or as paid features. AI features are intended to assist users and require human review before use.
3.2 Data Processing: By using AI Services: • your data may be transmitted to MLJAR or third-party infrastructure, • you are solely responsible for the legality of your data, • you must not upload unlawful, confidential, or regulated data without authorization. MLJAR does not acquire ownership of your data. When using AI Services, data may be processed by external AI providers as part of the functionality.
3.3 No Guarantee of Results: AI outputs: • may be inaccurate, incomplete, or biased, • are provided for informational purposes only. MLJAR does not guarantee accuracy or fitness for any purpose. AI outputs are not intended to be used as the sole basis for decisions with legal, financial, or similarly significant impact.
3.4 Responsibility for Decisions: You are solely responsible for any decisions based on AI outputs. MLJAR may suspend or restrict access to AI Services in case of excessive usage, security risks, or suspected violations of this EULA.
3.5 Availability: AI Services are provided "AS AVAILABLE". MLJAR does not guarantee: • uninterrupted access, • performance, • availability of specific models.
3.6 Third-Party Providers: AI Services may depend on third-party providers. MLJAR is not responsible for their availability or performance.
3.7 Usage Limits and Fair Use: MLJAR may, at its sole discretion, introduce, modify, or enforce usage limits on AI Services at any time. Such limits may include, but are not limited to: • limits on number of requests, • token or compute usage limits, • rate limits, • fair use restrictions. MLJAR may apply such limits: • with or without prior notice, • to ensure service stability, security, or fair usage among users. Continued use of AI Services after such changes constitutes acceptance of the updated limits.

- FEES
4.1 Software: The perpetual license is a one-time payment.
4.2 AI Services: AI Services may require additional fees, which may be: • subscription-based, • usage-based, • or hybrid. All payments are non-refundable unless required by law.
- UPDATES
The perpetual license applies to the version of the Software available at the time of purchase. The license includes access to updates, improvements, and bug fixes released within 12 months from the date of purchase ("Update Period"). After the Update Period expires: • the Licensee may continue to use the Software indefinitely, and • access to further updates or upgrades may require an additional purchase or renewal.
- SUPPORT
MLJAR offers technical support during the active subscription period. Support is available via email at contact@mljar.com.
- PAYMENTS & REFUNDS
7.1 Software License: The Software is provided under a one-time fee for a perpetual license, as specified on MLJAR’s website. The license fee is payable in advance at the time of purchase.
7.2 AI Services: AI Services may require additional fees, which may be:
- subscription-based,
- usage-based, or
- a combination of both.
7.3 Subscription renewal: Subscriptions renew automatically at the end of each billing period unless canceled before renewal. Where required by applicable law, MLJAR will provide advance notice of renewal. You may cancel your subscription at any time, and the cancellation will take effect at the end of the current billing period. Payments are processed through third-party payment providers.
7.3 Refund Policy: Payments are non-refundable except where required by applicable law. If the Licensee is a consumer in the European Union, they may have a statutory right of withdrawal (typically 14 days), unless such right has been expressly waived at checkout. If the Licensee consents to immediate access to digital content (including Software download or AI Services activation), they acknowledge that the right of withdrawal may be lost, in accordance with applicable law.
- Third-Party Open-Source Software
MLJAR Studio contains open-source software components licensed under their respective terms. A list of open-source components and their licenses is available in the official product documentation. Licensee must comply with all applicable open-source license terms. If any conflict arises between this EULA and an open-source license, the open-source license shall prevail with respect to the affected component.
- PRIVACY & DATA PROTECTION
MLJAR processes personal data in compliance with GDPR (General Data Protection Regulation) and other applicable privacy laws. Details on how MLJAR collects, stores, and processes user data are available in the Privacy Policy: mljar.com/privacy.
- FORCE MAJEURE
MLJAR shall not be held responsible for any failure or delay in performance due to events beyond its reasonable control, including but not limited to natural disasters, cyberattacks, wars, pandemics, and governmental restrictions.
- TERMINATION
MLJAR may terminate the license if the Licensee violates this EULA. Upon termination, Licensee must cease all use of the Software and delete all copies.
- DISCLAIMER OF WARRANTIES & LIABILITY
12.1 AS-IS Software: The Software is provided “AS IS” without warranties of any kind, either express or implied.
12.2 Limitation of Liability: MLJAR shall not be liable for any indirect, special, or consequential damages arising from the use of the Software, loss of data, profits, or business, or decisions made based on AI outputs.
- GOVERNING LAW & DISPUTE RESOLUTION
For business users, this EULA shall be governed by and construed in accordance with the laws of Poland. For consumers, this EULA shall not limit any mandatory consumer protection rights under the laws of the country of their residence.
- INDEMNIFICATION (B2B)
Business users agree to indemnify MLJAR against claims arising from: • misuse of the Software, • unlawful data, • regulatory violations.
- AUDIT
MLJAR may verify compliance with license terms.
- EXPORT CONTROL
Use must comply with export laws and sanctions.
- MISCELLANEOUS
This EULA constitutes the entire agreement between the parties. If any provision is found invalid, the remaining provisions shall remain in full force. Failure to enforce any provision shall not constitute a waiver.
- CHANGES TO THIS EULA
MLJAR may update or modify this EULA from time to time. If changes are material, MLJAR will provide reasonable notice (e.g., via the Software or website). Continued use of the Software or AI Services after such changes constitutes acceptance of the updated EULA.
