MLJAR STUDIO FRAMEWORK – END USER LICENSE AGREEMENT (EULA)

This End User License Agreement ("EULA") is made between MLJAR sp. z o. o. ("Licensor") and the individual or entity ("Licensee") that purchases or uses the paid version of MLJAR Studio Framework ("Software"). By installing, accessing, or using the Software, Licensee agrees to be bound by the terms of this EULA.
1. LICENSE GRANT
1.1 License Type: The Software is licensed, not sold. Licensor grants Licensee a non-exclusive, non-transferable, non-sublicensable, limited, revocable license to use the Software only as permitted under this EULA.
1.2 Permitted Use: Licensee may install and use the Software for internal business, professional, or academic purposes on the one device.
1.3 Restrictions: Licensee shall not:
- Modify, adapt, translate, reverse-engineer, decompile, or disassemble the Software, except where permitted by applicable law.
- Sell, rent, lease, distribute, sublicense, or commercially exploit the Software.
- Remove or alter any proprietary notices, branding, or legal disclaimers from the Software.
- Use the Software for illegal activities or in violation of applicable laws.
- Circumvent or attempt to bypass license restrictions, subscription verification mechanisms, or any other security or usage control features implemented in the Software.
- Use the Software on more devices or users than specified in the purchased license.
- Share, transfer, or distribute license keys to third parties.
- Provide paid services or build a SaaS offering based on MLJAR Studio without an explicit written agreement from MLJAR.
1.4 Permitted Use: Licensee is allowed to:
- Install and use the Software on the specified number of devices.
- Use the Software for internal business, research, or educational purposes.
- Use the Software to analyze data and build models for personal or company use but not as a service for third parties.
1.5 No Ownership Transfer: This EULA does not transfer ownership of the Software. MLJAR retains all intellectual property rights.
2. LICENSE TYPES & DURATION
2.1 Subscription-Based License:
- The paid version of MLJAR Studio is provided on a subscription basis (monthly or yearly).
- The license remains valid only while the subscription is active.
- The purchased license applies only to the current version of the Software at the time of purchase.
- Future updates or new versions require a separate purchase or subscription renewal.
2.2 The license applies only to the purchased version.
2.3 License Scope by User Type:
- Pro License – For personal, individual, and professional use. The license is non-transferable and limited to a single user.
- Business License – For commercial and corporate use. Allows deployment within an organization for internal purposes. Each user or device requires a separate license unless otherwise specified.
- Academic License – For universities, research institutions, and students. This license is for non-commercial research and educational use only. Academic licenses may not be used for commercially funded research.
2.4 Automatic Subscription Renewal Notification:
- The subscription automatically renews unless canceled before the end of the current billing period.
- Licensee will receive a renewal notification at least 7 days before renewal, as required by applicable consumer protection laws.
2.5 Reversion to AGPL v3 License:
- If the subscription expires and the Licensee does not renew, the Software will revert to being licensed under the GNU Affero General Public License v3 (AGPL v3).
- Under AGPL v3, the Licensee may continue using the Software but must comply with the terms of the AGPL v3 license, which includes obligations related to source code sharing for any modifications or derivative works.
3. ENFORCEMENT & AUDIT RIGHTS
- MLJAR reserves the right to audit the Licensee’s use of the Software to ensure compliance with licensing terms.
- If the Licensee is found to be violating the license, MLJAR has the right to immediately terminate the license without a refund.
- Any attempt to bypass security mechanisms, unauthorized distribution, or unauthorized commercial usage may result in legal action.
4. SUPPORT
- MLJAR offers technical support during the active subscription period.
- Support is available via email at contact@mljar.com.
5. PAYMENTS & REFUNDS
5.1 Pricing & Payments:

The license fee is stated on MLJAR’s website and is payable in advance for the selected billing period (monthly or yearly).

Payments are processed through third-party payment providers. 🌐 5.2 Refund Policy (EU Consumer Rights):

If Licensee is an EU consumer, they have a 14-day withdrawal period unless waived at checkout.

Refunds are not available after activation of the Software unless required by law.
6. OPEN-SOURCE SOFTWARE COMPONENTS
6.1 Third-Party Open-Source Software:
- MLJAR Studio contains open-source software components licensed under their respective terms.
- A list of open-source components and their licenses is available in the official product documentation.
6.2 License Compliance:
- Licensee must comply with all applicable open-source license terms.
- If any conflict arises between this EULA and an open-source license, the open-source license shall prevail with respect to the affected component.
7. PRIVACY & DATA PROTECTION
- MLJAR processes personal data in compliance with GDPR (General Data Protection Regulation) and other applicable privacy laws.

8. FORCE MAJEURE
- MLJAR shall not be held responsible for any failure or delay in performance due to events beyond its reasonable control, including but not limited to natural disasters, cyberattacks, wars, pandemics, and governmental restrictions.
9. TERMINATION
- MLJAR may terminate the license if the Licensee violates this EULA.
- Upon termination, Licensee must cease all use of the Software and delete all copies.
10. DISCLAIMER OF WARRANTIES & LIABILITY
10.1 AS-IS Software:
- The Software is provided “AS IS” without warranties of any kind, either express or implied.
10.2 Limitation of Liability:
- MLJAR shall not be liable for any indirect, special, or consequential damages arising from the use of the Software.
11. GOVERNING LAW & DISPUTE RESOLUTION
- This EULA is governed by Polish law.
- Disputes shall be resolved in Polish courts, with EU consumers having access to ODR mechanisms.
